1. Acceptance

These Terms govern use of umi.com.sa and the public content, forms and pages made available through it.

By using the website, you acknowledge that you have read and agree to comply with these Terms and applicable law. If you do not agree, please do not use the website.

2. About UMI

The website is operated by Unified Modern Intelligence (UMI), which provides software solutions related to customer experience for businesses.

3. Scope

These Terms apply to the public corporate website and its public functions, including browsing content, requesting a demo and contacting UMI.

They do not constitute a subscription agreement for UMI products and do not replace any commercial proposal, order form, service agreement, data-processing agreement or specific terms agreed with a customer.

If these Terms conflict with a signed written agreement with a customer regarding a contracted service, the written agreement prevails for that subject matter.

4. Website content

The website provides information about UMI, its solutions, industries and contact methods.

UMI aims to keep website content clear and current, but products, features and availability may change as the platform develops. General website content is not a binding contractual offer or promise that a particular feature is available unless expressly stated in an approved agreement or commercial proposal.

5. Demo requests and contact

When you submit a Request Demo or contact form:

  • you confirm that the information provided is accurate to the best of your knowledge;
  • you confirm that you are authorized to use the contact details you provide for that purpose; and
  • you understand that submitting a form or receiving an initial response does not by itself create a contract or an obligation to purchase or provide a service.

Do not submit patient data, health information, passwords, payment information, unnecessary trade secrets or other Sensitive Data through public fields.

6. Acceptable use

You may use the website only for lawful purposes.

You must not:

  • attempt unauthorized access to the website or connected systems;
  • bypass or disable security measures or conduct unauthorized vulnerability testing;
  • transmit malware, harmful instructions or malicious code;
  • flood the website with automated requests or otherwise disrupt the service;
  • scrape or extract website content or data in violation of law or without authorization where authorization is required;
  • impersonate another person or business or intentionally provide misleading information for abusive purposes; or
  • use the website or its content to violate intellectual-property, privacy or other legal rights.

UMI may take reasonable measures to protect the website and prevent or restrict abusive or unlawful use.

7. Intellectual property

Unless stated otherwise, the UMI brand, website design, text, graphics, components and site-specific content are owned by UMI or used under valid license from the relevant rights holder.

Visiting the website does not transfer ownership or grant a general license to reuse those materials.

Limited lawful reference to UMI or quotation from website content is permitted provided that it does not distort the brand or content or imply an endorsement or partnership that does not exist.

8. Information you submit

When you submit information through a public form, you grant UMI the limited permission necessary to process that information to receive, respond to and manage your request in accordance with the Privacy Policy.

Ownership of materials or rights that you already hold does not transfer to UMI merely because you submit them, except for the limited right needed to process your request.

Third-party services are also subject to their providers’ terms and policies. UMI does not control the availability, policies or content of an external website that UMI does not operate.

UMI may modify the website, its structure or content, or discontinue a part of the public website where appropriate.

The website provides general information about UMI products and approach.

UMI does not guarantee that use of the website or any product, method or recommendation will produce a specified increase in ratings, sales, revenue, customer retention or any other business outcome.

Actual results depend on multiple factors relating to the business, its customers, operations and use of the service.

12. Limitation of liability

To the extent permitted by applicable law, UMI is not liable for indirect or consequential losses arising solely from use of the public website or reliance on general informational content published on it.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Liability relating to a paid service, subscription or contracted product is governed by the agreement applicable to that service.

13. Privacy and analytics

Personal Data processed through the website is governed by:

  • the Privacy Policy; and
  • the Cookie & Analytics Notice.

These documents supplement these Terms in relation to website data practices.

14. Changes to these Terms

UMI may update these Terms when necessary. The latest update date appears at the top of the page, and the version then published applies to use of the website after it takes effect.

A change to these Website Terms does not amend the rights or obligations of an existing customer agreement except in accordance with that agreement.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Kingdom of Saudi Arabia.

The competent courts and authorities in the Kingdom have jurisdiction over disputes related to use of the website, subject to any mandatory jurisdiction rules or separate applicable agreement.
